THESE TERMS OF USE ARE BINDING.

Welcome to the numerux.com website (hereinafter – the “Site” or “Website”).

These Terms of Use (hereinafter – the “ToU”) describe the terms and conditions applicable to your access and use of the Site, the Numerux SaaS (Software as a Service) (hereinafter – the “Numerux”) and the services provided by the Company REVOSOFT LTD (hereinafter collectively “Numerux Services”), which are made available through or in connection with the Site.

By using the Website, Numerux, and/or Numerux Services, you agree to be bound by the following Terms of Use.

The integral parts of these Terms of Use are our Privacy Notice and Cookie Policy.

YOUR USE OF THE SITE, NUMERUX AND/OR NUMERUX SERVICES SIGNIFIES THAT YOU AGREE TO THESE TOU AND CONSTITUTES YOUR BINDING ACCEPTANCE OF THESE TOU, INCLUDING ANY MODIFICATIONS THAT WE MAKE FROM TIME TO TIME. WE WILL INFORM YOU ABOUT ANY MODIFICATIONS THAT OCCUR IN THE ESSENTIAL PARTS OF THE TOU AND WILL ASK FOR YOUR IMPLIED CONSENT. THIS MEANS THAT IF YOU CONTINUE TO USE THE NUMERUX SERVICES AFTER SUCH MODIFICATIONS, YOU AGREE WITH THOSE MODIFICATIONS.

BY AGREEING TO THESE TOU, YOU AS THE HOLDER OF THE TELEPHONE NUMBER (OR IN CASE IT IS YOUR CHILD’S TELEPHONE NUMBER, AS LONG AS THEY HAVE NOT REACHED THE AGE OF ADULTHOOD IN YOUR COUNTRY OR A PERSON’S TELEPHONE NUMBER THAT YOU HAVE AUTHORIZED TO TRACE) GIVE YOUR CONSENT TO RECEIVE SMS TO THE RESPECTIVE TELEPHONE NUMBER THAT YOU SPECIFIED VIA THE SERVICES.

DEFINITIONS

Numerux – a geolocation SaaS (Software as a Service) allowing any individual acting in a private capacity to locate a mobile phone with the prior consent of the holder of the telephone number whose location is sought.

Subscription – recurring payments for Numerux usage on a periodic basis.

Target device – a smartphone, tablet, mobile phone, or another similar device, which is tracked by you through Numerux.

Payment information – full username, credit/debit card number, CVV, card expiry date, and other information you may need to pay for Numerux.

Payment service provider – a financial institution that processes payments for Numerux.

Subscription month – a paid subscription period, which may consist of a different number of days depending on the chosen plan. For example:

1- and 6-month subscription plans: 28 calendar days per “subscription month.”
3- and 9-month subscription plans: 30 calendar days per “subscription month.”
12-month subscription plan: 365 calendar days.

GENERAL PROVISIONS

You are required to create an account on the Site to purchase and use Numerux. To create an account, you must provide your email address, password, and Payment information.
When placing an order for Numerux, you acknowledge and agree that you have reached the legal age of adulthood in your country.
You acknowledge that we are not responsible for any third-party data leaks in databases and/or DNS servers.
You will not use the Site or Numerux in violation of any laws applicable to you. Notwithstanding the foregoing, we are not responsible for your further use of Numerux, and it is your sole responsibility to comply with all applicable laws.
You will properly follow all instructions and documentation provided by us on the Website.
You will not allow any other third party to access your account or utilize Numerux. If access to your account is granted to a third party—deliberately, by mistake, or in any other unauthorized manner—you acknowledge that we do not bear responsibility for the consequences thereof.
You may not share or transfer any account. You may not disclose your password to anyone else.
You must notify us immediately of any breach of security or unauthorized use of your account, or if you believe that your account password may have been compromised.
We will not be liable for any losses caused by any unauthorized use of your account.
We reserve the right to modify, terminate, or refuse Numerux Services to anyone for any reason and without notice, at any time.
You understand that we, in our sole discretion, may at any time for any reason suspend or terminate any license granted herein and disable the functionality of Numerux. In this case, any information you may have already accessed will become unavailable without prior notice.
If you have any technical questions, please contact customer service at [email protected]. Once your subscription has been confirmed, you only need to indicate the mobile phone number you wish to geo-locate (the “Recipient”). An SMS is then sent to the Recipient containing the message that you have previously selected, stating your wish to geo-locate that mobile phone. The Recipient is free to accept or refuse this request at their sole discretion. You acknowledge that we are not able to guarantee that Recipients will accept your geo-location request, and that any refusal will not give rise to liability or a right to reimbursement on our part.
The recipient of the SMS can be your own phone, your children’s phone (as long as they have not reached the age of adulthood in your country), or persons you have authorized to trace their mobile.
We may propose and resell third-party products (software, mobile applications, etc.) or use third-party services. You may purchase these services with or separately from your main Numerux subscription. Terms and conditions, privacy matters, end-user license agreements, etc., that are related to your use of such third-party products/services will be provided by the respective third parties and can be found via links on the appropriate pages of the Website. You acknowledge that we do not control these services and are not responsible for such third-party products. If you have any questions about third-party products, their usage, installation, or issues, you should contact the appropriate provider directly. For billing and other financial matters related to third-party offerings, you may contact us at [email protected]. After you make a payment for such third-party products, you will receive instructions on the Website and/or by email.
We strive to help all our users. You may contact us about any matters concerning Numerux via Live Chat or email, free of charge.
You are aware that the Target device must:
- Have access to the Internet (via mobile connectivity or Wi-Fi).
- Have GPS functionality available.
Legal aspects of service operation: Requesting location data is only allowed for your own phone, your children’s phone (as long as they have not reached the age of adulthood in your country), or persons you have authorized to trace their mobile. Tracing someone else’s telephone without explicit permission is a violation of the law and is strictly forbidden. In urgent cases (e.g., a missing person), tracking without permission is still not allowed under these ToU. If Numerux learns that you have violated these rules, your account may be blocked and a notification may be sent to the appropriate authority. Your remaining credits will no longer be valid.
Currency Conversions: Please note that the price of a Numerux subscription is generally displayed in U.S. dollars (or EUR, if applicable), although the charge may be made in a local currency.
Provision of information upon the target device holder’s request: If the holder of the telephone number whose location is being sought (the target device holder) becomes aware that their location is being tracked, they may request certain limited information (for a fee) about the Numerux user who tracked them. Such information may include IP address, email, browser information (browser name, version), device type (Web, Mob, Laptop), OS (Windows, Android, MacOS), browser language, and device screen size. IN NO EVENT SHALL THE COMPANY BE LIABLE FOR THE ACCURACY, COMPLETENESS, RELIABILITY, OR LEGALITY OF ANY INFORMATION DISCLOSED PURSUANT TO THIS PARAGRAPH, NOR FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES ARISING OUT OF OR IN ANY WAY CONNECTED WITH SUCH DISCLOSURE.

SUBSCRIPTION AND BILLING PROCEDURE

To subscribe to Numerux, you must place an order after creating your account.
While placing your order, you must complete the Payment Information form.
The pricing for Numerux subscriptions is as follows:
- Trial Period: During the first 24 hours after registration, you are entitled to test Numerux for an amount specified on the Site (“Trial Period”).
- Automatic Renewal: At the end of these 24 hours, unless you terminate during this period, a monthly subscription is automatically activated at the monthly rate specified on the Site. Unless terminated, this subscription renews monthly, and the card used is automatically debited.
Subscription automatically renews unless auto-renewal is turned off at least 24 hours before the end of the current subscription month. We may charge you for the upcoming subscription period if you have not disabled automatic renewal in your account under the “Billing” section.
If you do not turn off automatic renewal, you will be charged for the next subscription period at the start of that period. You can cancel your subscription through your account or with the assistance of our support team via email. If you forget to disable auto-renewal, that alone is not a valid reason for a refund.
During any subscription payment, you may purchase additional services. Payment prices and conditions depend on the selected services.
All prices are inclusive of applicable taxes.
All accounts are set up on a prepaid basis. We must receive payment before any billable product or service is provided or activated. You are required to keep valid credit/debit card details on file to charge for any recurring subscription fees, one-time, or multi-payment fees. You are responsible for keeping all credit/debit card details and contact information current while using Numerux.
Your subscription is NOT based on how much you use (or do not use) Numerux, but rather on its availability.
After paying for a subscription, you will receive a payment notification from us. All your receipts are available upon request.
Methods of Payment: We accept all major credit/debit cards. Payment by any other means (e.g., check or wire transfer) requires explicit written consent from us, at our sole discretion. Payment is processed via our Site’s secure online payment system, which may use an external provider (e.g., Stripe). We do not store any bank card details. For more information, please read our Privacy Notice.
Refunds and Returns: You may be eligible for a refund within 14 calendar days from the payment date if you are not satisfied with Numerux for any reason. However, if you successfully used Numerux during the Trial Period and did not cancel auto-renewal, then were charged the full price and continued to use Numerux, you are not eligible for a refund.
Significant Local Currency Inflation or Exchange Rate Changes: In the event of significant inflation of your local currency and/or substantial exchange rate changes, the Company reserves the right to unilaterally modify its service fees. We will inform users about any change in the subscription fee via a special pop-up message in the user’s personal account. If you disagree with the change in the subscription fee, you must cancel your subscription in your personal account or by sending an email to [email protected].

SECURITY

We care about the integrity and security of your personal information.

You acknowledge that you willingly provide your personal information to the Company and the Payment Provider when placing an order for Numerux.

Please read our Privacy Notice for more details regarding our personal data processing rules and secure storage methods.

We do not control or monitor how users exploit Numerux, nor are we aware of such usage. We will not be held responsible for inappropriate or unlawful use by any user. It is the user’s responsibility to comply with all laws when using Numerux.

You acknowledge that we do not encourage users to exploit Numerux illegally.

END USER LICENSE CONDITIONS

Scope of License: The Company grants you a limited, non-exclusive, non-transferable, revocable license (hereinafter – the “License”) to use Numerux.
Numerux is Designed for Legal Use Only: Numerux is designed to be used with the prior consent of the device owner. The Company cannot provide legal advice regarding your use of Numerux. You should consult your own legal advisor regarding the legality of using Numerux in the manner you intend to use it, prior to doing so.
License Ownership: The Company is the owner of all right, title, and interest in and to the original Numerux software, including any copies, modifications, enhancements, or derivatives. You do not acquire any ownership rights in Numerux; the License grants you only a right to use Numerux.
You may not sell, lease, rent, license, sublicense, redistribute, assign, or grant Numerux to any third party. You may not decompile, disassemble, or reverse engineer Numerux, nor create derivative works of Numerux or any updates, nor allow any third party to do so. Any attempt to do so is considered a violation of these ToU and may result in legal actions.
The Company may provide upgrades, modifications, updates, or additions (the “Modifications”) to Numerux during your License term. These ToU apply to such Modifications unless accompanied by a separate license, in which case that license shall apply.
Internet Connection: Use of Numerux may require internet access. The Company is not responsible if you cannot access Numerux due to internet connectivity issues.
Term and Termination: The License term runs concurrently with your subscription term. Your License terminates automatically if you fail to comply with these ToU or if your subscription expires. Upon termination, Numerux may cease to function or become inaccessible without prior notice.

INTELLECTUAL PROPERTY

Trademarks: The Numerux name and logo are trademarks/service marks owned by the Company. Unauthorized use of the Numerux trademark, service mark, or logo is a violation of applicable trademark laws and international intellectual property laws.
Copyright: All intellectual property rights in the Site and Numerux belong to and vest in the Company or its licensors, and are protected by applicable laws and international treaties.
You may not use or reproduce any part of this Website or the materials contained within it without first obtaining our prior written permission.
Any images that appear on this Website with acknowledgment to licensed material include restrictions on downloading such material for other than personal use, and prohibit republication, retransmission, reproduction, or other use of the licensed material.

LIABILITY AND WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY, ITS AFFILIATES, LICENSORS, AND BUSINESS PARTNERS (COLLECTIVELY, THE “RELATED PARTIES”) DISCLAIM ALL LIABILITY, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, AND FURTHER DISCLAIM ALL LOSSES, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES ARISING OUT OF OR IN ANY WAY CONNECTED WITH ACCESS TO OR USE OF THE SITE AND/OR NUMERUX, EVEN IF WE AND/OR RELATED PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

WITHOUT LIMITING THE FOREGOING, IN NO CASE SHALL THE LIABILITY OF THE COMPANY OR ANY RELATED PARTIES EXCEED THE GREATER OF $50 OR THE AMOUNT THAT YOU PAID TO US OR OUR DESIGNEES DURING THE SIX (6) MONTHS PRIOR TO THE TIME THE CAUSE OF ACTION GIVING RISE TO LIABILITY AROSE.

Because some states or jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, in such states or jurisdictions, the liability of the Company and its affiliates shall be limited to the fullest extent permitted by law.

WE ARE NOT RESPONSIBLE FOR UNLAWFUL USE OF NUMERUX AND/OR THE SITE BY USERS. NUMERUX AND/OR THE SERVICES ARE PROVIDED AND DEVELOPED FOR LEGAL, CONSENSUAL GEOLOCATION PURPOSES ONLY AND MUST NOT BE USED IN VIOLATION OF THE RIGHTS, FREEDOMS, AND INTERESTS OF THIRD PARTIES.

WE ARE NOT RESPONSIBLE FOR ANY THIRD-PARTY PRODUCTS PURCHASED ON THE WEBSITE (EXCEPT FOR BILLING MATTERS). ALL CLAIMS REGARDING INSTALLATION, ERROR CORRECTION, OR USE OF THIRD-PARTY PRODUCTS SHOULD BE DIRECTED TO THE RESPECTIVE PROVIDER.

THE SITE AND NUMERUX ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS FOR YOUR USE, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTY AS TO THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT AVAILABLE THROUGH, OR THE PERFORMANCE OF, THE SITE OR NUMERUX.

YOU ARE RESPONSIBLE FOR VERIFYING ANY INFORMATION BEFORE RELYING ON IT. USE OF THE SITE AND/OR NUMERUX IS AT YOUR OWN RISK. WE DO NOT WARRANT THAT YOU WILL BE ABLE TO ACCESS OR USE THE SITE OR NUMERUX AT THE TIMES OR LOCATIONS OF YOUR CHOOSING; THAT THE SITE OR NUMERUX WILL BE UNINTERRUPTED OR ERROR-FREE; THAT DEFECTS WILL BE CORRECTED; OR THAT THE SITE OR NUMERUX ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Because some states or jurisdictions do not allow the disclaimer of implied warranties, the foregoing disclaimer may not apply to you.

MISCELLANEOUS

You agree to indemnify, defend, and hold the Company and the Related Parties harmless from any and all claims, demands, damages, or other losses (including reasonable attorneys’ fees) arising from your use of the Site or Numerux, or any breach by you of these ToU or any other policies that we may issue for the Site and/or Numerux usage from time to time.
We may assign these ToU, in whole or in part, to any person or entity at any time with or without your consent. You may not assign these ToU without our prior written consent; any unauthorized assignment by you shall be null and void.
If any part of these ToU is determined to be invalid or unenforceable, that portion shall be severed, and the remainder of the ToU shall remain in full force and effect.
Our failure or delay to enforce any provision of these ToU does not constitute a waiver of that or any other provision.
By using our Site and/or Numerux, you confirm that you have read and consent to these ToU, as well as our Privacy Notice and Cookie Policy.
We may revise these ToU, Privacy Notice, and Cookie Policy at any time without notice, and the new versions will be available on the Site.
If at any point you do not agree to any portion of these ToU, you should immediately stop using the Site and/or Numerux.
The express waiver by Numerux of any provision, condition, or requirement of these ToU shall not constitute a waiver of any future obligation to comply with such provision, condition, or requirement.
All notices given by you or required under these ToU shall be in writing and addressed as follows:

All policies and other documents posted on the Site are integral parts of these ToU.
Numerux is offered with the understanding that we may terminate any subscription and/or your access to Numerux at any time, for any reason, including without limitation any violation of these ToU.
We reserve the right to deny service to or, if applicable, terminate the service of any user, including without limitation a user who attempts to locate the device of an individual who has not provided their consent. We reserve the right to block all accounts associated with such a user.
These ToU describe certain legal rights. You may have other rights under the laws of your state or country. Nothing in these ToU is intended to limit those rights, where applicable.
These ToU are governed by the laws of Cyprus. Any disputes shall be resolved by the appropriate courts of Cyprus. If the laws of your jurisdiction do not permit you to use Numerux, you acknowledge and agree that it is solely your responsibility to comply or discontinue use.
The original, legally binding version of this document is written in English. Translations are provided solely for convenience. In case of any discrepancies between the English version and a translation, the English version shall prevail.
